1. Term. These Terms remain in effect until terminated by you or Ownitize.

2. Termination by You. You may stop using the Service at any time.

3. Termination by Ownitize. We may suspend or terminate your access if you breach these Terms, without refund.

4. Survival. Sections 5 (Intellectual Property), 7 (Fees), 8 (Confidentiality), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 14 (Governing Law) survive termination.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. OWNITIZE DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWNITIZE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO OWNITIZE IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ownitize, its officers, directors, employees, and agents from any claim, demand, liability, loss, or expense (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or your misuse of the Service.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Natrona County, Wyoming, for any disputes arising under these Terms.

14. Changes to Terms

We may update these Terms from time to time. We will post the revised Terms on our website with a new “Last updated” date. Your continued use of the Service after such posting constitutes acceptance of the updated Terms.
